SNAPSHOTPR / ARTISTPRO TERMS OF SERVICE Effective Date: July 26, 2026 These Terms of Service ("Terms") form a binding agreement between you and OHM Publicity LLC, a California limited liability company, Entity No. B20260304793, doing business through the SnapshotPR and ArtistPRO brands ("OHM," "SnapshotPR," "ArtistPRO," "we," "us," or "our"). These Terms govern your access to and use of our websites, submission forms, automated analysis services, digital reports, promotional services, outreach services, and other products and services that reference these Terms collectively, the "Services." By checking the applicable acceptance box, submitting a recording, purchasing a Service, or otherwise using the Services, you acknowledge that you have read, understood, and agreed to these Terms. Our Privacy Policy describes how we collect, use, disclose, retain, and protect personal information. 1. Eligibility and authority You must be at least 18 years old or the age of legal majority in your jurisdiction to purchase or use the Services. If you are under the age of legal majority, a parent or legal guardian must purchase and use the Services on your behalf. If you use the Services for an artist, band, label, company, client, or other person or organization, you represent that you have authority to accept these Terms and provide the submitted materials on that party's behalf. 2. Description of the Services SnapshotPR and ArtistPRO provide products and services that may include: • automated analysis of submitted audio recordings; • music-readiness assessments; • written release and publicity recommendations; • release-planning materials; • promotional strategy reports; • press, marketing, or outreach services; • digital templates, kits, or resources; and • other related music-publicity and artist-development services. The specific features, price, delivery method, and scope of a purchased Service will be described on the applicable sales or checkout page. Certain Services are performed entirely through automated systems and do not include individual human listening or review unless the applicable product description expressly states otherwise. Estimated delivery times are estimates only. Unless a product description expressly guarantees a specific deadline, delivery may be affected by technical issues, file quality, processing demand, email delivery, or circumstances outside our reasonable control. 3. Orders, pricing, and payment Prices and applicable charges are displayed before checkout. You authorize OHM and its payment processor to charge the payment method you provide for the selected Service, applicable taxes, and any other amount clearly disclosed and accepted at checkout. You represent that: • the payment information you provide is accurate; • you are authorized to use the selected payment method; and • the transaction is not fraudulent or unauthorized. Payments are processed by a third-party payment processor. OHM does not ordinarily receive or store your complete payment-card number. OHM may correct pricing, technical, or product-description errors before accepting an order. If a material error affects an order after payment, we may cancel the affected order and refund the amount charged. 4. Future subscriptions Some future Services may be offered on a recurring or subscription basis. These Terms alone do not enroll you in a subscription or authorize recurring charges. Any recurring plan will require separate checkout disclosures and affirmative consent describing the price, billing frequency, renewal terms, cancellation method, and other legally required information. 5. Customer submissions "Customer Content" means any material you submit through the Services, including: • audio recordings; • musical compositions; • lyrics; • titles; • artist and release information; • artwork; • written descriptions; • goals, concerns, and questionnaire responses; • links; • metadata; and • other information or materials you provide. You retain your ownership of Customer Content, subject to the limited license granted below. 6. Rights and permissions warranty You represent and warrant that you own, control, or have obtained all rights, licenses, clearances, consents, and permissions necessary to: • upload the Customer Content; • submit it to OHM; • authorize the processing described in these Terms; • allow OHM's contracted service providers to process it; • receive the purchased Service; and • authorize any separately purchased promotional or outreach activity. You must not upload any recording you do not have permission to submit and process. The availability of categories such as "cover," "remix," "bootleg," "unofficial remix," or "mashup" does not constitute a legal determination by OHM that a particular submission is authorized or noninfringing. Those categories are used to configure the analysis and describe the customer's submission. OHM does not independently verify ownership, licensing, authorship, sample clearance, composition rights, master rights, trademark rights, publicity rights, or contractual restrictions applicable to Customer Content. You remain responsible for accurately classifying your recording and obtaining any required permissions. 7. Limited processing license You grant OHM a limited, nonexclusive, worldwide, royalty-free license to: • receive and privately store Customer Content; • make technical copies reasonably necessary to provide the Services; • transmit Customer Content to contracted service providers; • measure, analyze, describe, and process Customer Content; • generate transcripts where permitted under these Terms; • create reports, measurements, descriptions, and other derived materials; • deliver the purchased Service; • detect and investigate fraud, abuse, security incidents, and technical problems; • enforce these Terms; and • comply with applicable law. This license is limited to operating, securing, supporting, and providing the Services. If you separately purchase or authorize promotional outreach, you also grant OHM permission to provide the recording and related promotional information to the recipients reasonably necessary to perform that outreach. The license applicable to an uploaded audio file ends when that audio file is deleted, except to the extent continued retention is separately authorized or legally required. OHM may retain generated reports, technical measurements, consent records, transaction records, and other non-audio records as described in the Privacy Policy. 8. Confidential and unreleased recordings OHM recognizes that Customer Content may include unreleased commercial recordings. OHM will: • store uploaded recordings in private, access-controlled storage; • use commercially reasonable safeguards appropriate to the nature of the Service; • restrict processing to OHM and contracted service providers involved in providing or securing the Services; • not publicly post or stream a recording through the automated-analysis Service; and • not send a recording to media outlets, DJs, labels, playlists, or other promotional recipients unless you separately authorize that activity. No internet-based system can guarantee absolute security or confidentiality. OHM does not warrant that unauthorized access, transmission errors, security incidents, or third-party failures can never occur. 9. Automated processing and generative artificial intelligence SnapshotPR and ArtistPRO use automated systems and third-party software, including generative artificial-intelligence systems, to analyze customer submissions and produce reports, assessments, descriptions, measurements, and recommendations. Unless the applicable Service expressly states otherwise: • no human listens to the submitted recording; • no individual publicist manually writes the report; • the report may be produced and delivered without individual human review; and • processing begins automatically after successful payment and submission. The automated system may consider: • technical audio measurements; • automated descriptions of the recording; • information and answers supplied by you; • release and genre information; • benchmark artists; • SnapshotPR's configured publicity and music-marketing frameworks; and • outputs produced by contracted software providers. OHM's automated workflow is configured using publicity and music-marketing methodologies developed through OHM's professional experience. This does not mean that every underlying third-party model was created or technically trained by OHM. Automated analysis may contain errors, omissions, limitations, inconsistencies, or subjective conclusions. Music, publicity, branding, and marketing assessments necessarily involve judgment, and reasonable professionals may reach different conclusions. 10. Lyric transcription For recordings identified as original works, the automated system may generate a lyric transcription or partial lyric transcription to inform the report. SnapshotPR does not intentionally perform lyric transcription for recordings identified as: • covers; • bootlegs; • unofficial remixes; • official remixes containing third-party lyrics; or • mashups containing third-party lyrical material. You are responsible for accurately classifying the submitted recording. Incorrect classification may cause the system to process the recording differently than intended. 11. Refund Policy This Section is SnapshotPR and ArtistPRO's Refund Policy and is incorporated into all purchases governed by these Terms. 11.1 Immediate digital performance SnapshotPR and ArtistPRO products are customized digital services that begin processing promptly after payment. By purchasing a Service, you authorize OHM to begin processing immediately. Once a usable report or other purchased digital deliverable has been delivered, the purchase is final except where a refund or remedy is required by applicable law or expressly provided below. 11.2 Usable report A "usable report" means a report that: • was generated in connection with the customer's submitted recording and information; • materially addresses the principal categories included in the purchased product; • is readable and accessible; • is not blank or materially corrupted; and • was not clearly generated from the wrong recording. A report is not unusable merely because: • you disagree with its conclusions; • you dislike its tone; • it contains an unfavorable assessment; • it recommends a strategy you do not prefer; • it differs from another person's opinion; or • it does not produce a desired commercial or career result. 11.3 No dissatisfaction-based refunds After delivery of a usable report, refunds are not available for: • change of mind; • disagreement with the analysis; • dissatisfaction with an opinion or recommendation; • disappointment with the results; • failure to receive press coverage, streams, placement, playlisting, label interest, revenue, or audience growth; or • a decision not to use the delivered report. 11.4 Technical errors and reprocessing If a report is not delivered or contains a verified technical processing error, OHM may reprocess the submission up to five times at no additional charge. You may be asked to: • confirm your email address; • resubmit the recording; • submit a compatible file; • correct incomplete information; or • provide information reasonably needed to diagnose the issue. If OHM cannot deliver a usable report after five reprocessing attempts, or determines before then that successful delivery is not reasonably possible, OHM will refund the amount paid for the affected report to the original payment method. 11.5 Duplicate and unauthorized charges OHM will correct or refund verified duplicate charges. Reported unauthorized or fraudulent charges will be investigated in accordance with applicable law and payment-network rules. OHM may request information reasonably necessary to verify the identity of the customer, the transaction, or the payment method. 11.6 Nonwaivable rights Nothing in this Refund Policy limits any refund, cancellation, or other right that cannot legally be waived. 12. Delivery and customer responsibilities Reports and other digital products may be delivered to the email address supplied by you or made available through another method stated at checkout. You are responsible for: • providing an accurate and accessible email address; • checking spam, junk, promotional, and filtered email folders; • maintaining access to the supplied email account; and • promptly notifying OHM of a delivery problem. If a report was successfully transmitted to the email address you supplied but you did not initially locate it, OHM may resend the report without treating the original delivery as a failure. 13. No guarantee of publicity or commercial results OHM does not guarantee: • press coverage; • a favorable review; • publication by any particular outlet; • radio play; • DJ support; • playlist placement; • label interest; • management interest; • bookings; • streams; • followers; • audience growth; • revenue; • chart position; • virality; • campaign responses; or • any other career, promotional, or commercial result. Recommendations are informational and strategic in nature. They are not legal, financial, accounting, tax, medical, or investment advice. You remain responsible for deciding whether and how to use any report, recommendation, campaign, or promotional strategy. 14. Promotional outreach and third-party submissions Some Services may allow you to authorize OHM to send your recording, press materials, or related information to media outlets, DJs, labels, music professionals, promotional recipients, or other third parties. Such outreach requires separate authorization or purchase. By authorizing outreach, you: • authorize the necessary disclosure of your recording and promotional materials; • confirm that the submitted contact and promotional information is accurate; • confirm that OHM may identify itself as acting for you or your project; • acknowledge that recipients control whether and how they respond; and • acknowledge that OHM cannot guarantee review, response, coverage, placement, or continued availability of any recipient. OHM may refuse or discontinue outreach that it reasonably believes is unlawful, misleading, abusive, infringing, technically harmful, or inconsistent with recipient submission requirements. 15. Prohibited uses You may not use the Services to: • violate any law or regulation; • infringe copyright, trademark, publicity, privacy, contractual, or other rights; • submit malware, corrupted files, malicious code, or harmful material; • impersonate another person or misrepresent your affiliation; • commit fraud or payment abuse; • interfere with the Services or bypass security measures; • scrape or systematically extract data from the Services; • probe, test, or reverse engineer nonpublic technical systems; • obtain another customer's content or confidential information; • overload, disrupt, or damage the Services; • use automated means to make excessive or abusive submissions; • resell access to the Services without written permission; or • use the Services, reports, prompts, outputs, structure, or methodology to clone, reproduce, benchmark, train, or develop a substantially competing automated service. The final restriction does not prevent you from using your report for your own music career, artist project, release, publicity, or business planning. 16. Ownership of the Services and reports OHM and its licensors own all rights in the Services, including: • website content; • software; • interfaces; • workflows; • scoring systems; • prompts; • report structures; • methodologies; • databases; • branding; • graphics; • templates; and • other proprietary materials. Customer Content remains owned by you or its applicable rights holders. After full payment, OHM grants you a perpetual, nonexclusive, worldwide, royalty-free license to use, copy, share, adapt, and display the delivered report for your own artist, release, promotional, professional, and internal business purposes. This license does not transfer ownership of OHM's underlying methodologies, systems, prompts, templates, or service architecture. To the extent any automatically generated portion of a report is not eligible for copyright protection, nothing in these Terms restricts your permitted use of the delivered report for the purposes stated above. 17. Third-party services OHM relies on third-party providers for functions such as: • payment processing; • cloud hosting; • private file storage; • database and workflow operations; • transactional email; • audio measurement; • automated audio analysis; • generative report production; • security; and • fraud prevention. OHM does not control every aspect of a third-party provider's availability, security, retention, or performance. A third-party failure may temporarily delay or prevent a Service. OHM's obligations in that situation are governed by the Refund Policy and applicable law. 18. Copyright complaints and DMCA process OHM respects intellectual-property rights. A copyright owner or authorized agent who believes that material stored or processed through the Services infringes a copyright may submit a written notice to OHM's designated DMCA agent. The notice should include: 1. a physical or electronic signature of the copyright owner or a person authorized to act for the owner; 2. identification of the copyrighted work claimed to have been infringed; 3. identification of the material claimed to be infringing and information reasonably sufficient for OHM to locate it; 4. the complaining party's name, mailing address, telephone number, and email address; 5. a statement that the complaining party has a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and 6. a statement that the information in the notice is accurate and, under penalty of perjury, that the complaining party is authorized to act for the owner of the exclusive right allegedly infringed. A person whose material is removed as the result of a DMCA notice may send a legally compliant counter-notification to the same designated agent. Knowingly making a material misrepresentation in a notice or counter-notification may create legal liability. 19. Repeat-infringer policy OHM may terminate or permanently restrict access to the Services for customers or users who repeatedly infringe intellectual-property rights. In applying this policy, OHM may consider: • valid DMCA notices; • admissions by the customer; • court orders; • repeated submission of previously removed material; • credible evidence of repeated infringement; • prior warnings; and • other relevant circumstances. OHM may act immediately in cases of egregious, deliberate, or repeated infringement. 20. Suspension and termination OHM may reject a submission, suspend processing, cancel an order, delete Customer Content, or restrict access where reasonably necessary to: • enforce these Terms; • respond to a legal complaint; • prevent fraud or security harm; • protect OHM, customers, service providers, or third parties; • comply with law; • address infringement; • stop abuse; or • maintain the technical operation of the Services. Where appropriate, OHM may provide notice and an opportunity to correct the issue. Termination does not eliminate payment obligations, licenses, indemnities, limitations, or other provisions that by their nature should survive. 21. Disclaimer of warranties Except for the express obligations stated in these Terms, and to the maximum extent permitted by law, the Services are provided "as is" and "as available." OHM disclaims implied warranties of merchantability, fitness for a particular purpose, title, accuracy, noninfringement, and uninterrupted availability to the extent legally permitted. OHM does not warrant that: • every automated measurement or description will be accurate; • the Services will operate without interruption; • every technical error will be corrected immediately; • third-party services will remain available; • a report will match another reviewer's opinion; or • use of the Services will produce a specific result. Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the maximum extent allowed. 22. Limitation of liability To the maximum extent permitted by law, OHM and its owners, officers, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost opportunities, lost publicity, lost revenue, loss of goodwill, loss of data, or career-related losses arising from or related to the Services. To the maximum extent permitted by law, OHM's aggregate liability arising from a particular Service will not exceed the greater of: • the amount you paid OHM for the Service giving rise to the claim; or • $100. These limitations do not apply to liability that cannot legally be limited, including liability arising from OHM's fraud, willful misconduct, or any other category that applicable law prohibits OHM from excluding. 23. Indemnification To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless OHM and its owners, officers, employees, contractors, service providers, and affiliates from third-party claims, liabilities, damages, judgments, settlements, penalties, costs, and reasonable attorneys' fees arising from: • Customer Content submitted by you; • an allegation that Customer Content infringes or violates another party's rights; • your breach of the rights-and-permissions warranty; • your unauthorized promotional instructions; • your violation of law; or • your material breach of these Terms. You are not required to indemnify OHM for a claim to the extent caused by OHM's own fraud, gross negligence, or willful misconduct. OHM may control the defense of an indemnified claim using counsel of its choice, provided that it acts reasonably and does not agree to a settlement that imposes a nonmonetary obligation on you without your consent. 24. Chargebacks and payment disputes A chargeback does not change the Refund Policy applicable to an authorized purchase. Before disputing an authorized charge, you are encouraged to contact OHM so that the transaction, delivery record, and any technical issue can be investigated. OHM may provide the payment processor, card network, issuing bank, or other financial institution with: • transaction records; • consent records; • checkbox text and version records; • submission records; • delivery timestamps; • reports; • correspondence; and • other information relevant to a payment dispute. A knowingly false or fraudulent chargeback or payment dispute constitutes a material breach of these Terms. Nothing in this Section limits your right to report or dispute an unauthorized, fraudulent, duplicate, undelivered, or otherwise legally disputable charge. 25. Privacy and communications Our collection and handling of personal information is described in the Privacy Policy. You consent to receive transactional communications necessary to provide the Services, including: • purchase confirmations; • report delivery; • technical notices; • support communications; • security messages; and • legally required notices. Transactional communications are not the same as optional marketing consent. Marketing communications will be sent only as permitted by law. You may unsubscribe from marketing messages using the unsubscribe method included in the message. 26. Consumer rights and California notice Nothing in these Terms waives or limits any consumer right or remedy that cannot legally be waived. Governing law and disputes These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Before filing a lawsuit, the parties are encouraged to attempt in good faith to resolve the dispute by written notice and direct discussion. Except where applicable consumer law requires otherwise, a legal action arising from these Terms or the Services must be brought in a state or federal court with jurisdiction in Los Angeles County, California. Nothing in this Section prevents either party from: • bringing an eligible claim in small claims court; • seeking urgent injunctive relief; • enforcing intellectual-property rights; or • exercising a nonwaivable right to bring a claim elsewhere. Consumers outside California retain any mandatory protections provided by the laws of their place of residence. 28. Changes to the Services or Terms OHM may update the Services and these Terms. Material changes will be posted with a revised effective date and, where appropriate, communicated through the website, checkout process, or email. The version accepted at the time of a completed purchase will ordinarily govern that purchase unless a change is required by law or you separately agree to updated terms. 29. General provisions These Terms, the Privacy Policy, the applicable product description, and any supplemental terms accepted at checkout constitute the agreement governing the applicable Service. If a product-specific term conflicts with these Terms, the product-specific term controls for that product. If any provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. OHM's failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without OHM's written consent. OHM may assign these Terms in connection with a merger, acquisition, financing, sale of assets, restructuring, or transfer of the applicable business. Section headings are for convenience only. Electronic acceptance, records, and communications have the same effect as paper acceptance and records to the extent permitted by law. 30.
